Il Decreto Legislativo 8 giugno 2001 n. 231 è espressione del costante procedimento di armonizzazione e uniformazione degli ordinamenti statuali europei che ha determinato l'introduzione della responsabilità “penale” della societas nel nostro ordinamento. Si tratta di un istituto di nuovo conio che ha determinato il tramonto del tradizionale principio contenuto nel brocardo “societas delinquere non potest” in favore del nuovo principio insito nel brocardo “societas puniri potest”.
La normativa de qua si caratterizza per avere una natura giuridica ibrida, in quanto, nonostante il D.Lgs 231/01 sia rubricato sotto l’egida della responsabilità amministrativa degli enti, il medesimo, in realtà, cela anche una natura penalistica legata alle garanzie del processo penale. Dal che ne discende un carattere multidisciplinare che ha portato alla creazione di un tertium genus di responsabilità.
La ratio della normativa di riferimento è volta alla propalazione della legalità preventiva già all’interno della struttura societaria e della eticità aziendale nell’esercizio di tutte le attività squisitamente economiche che, per l’effetto, sono assistite da fini di profitto.
Il carattere poliedrico della normativa de qua e la costante espansione della medesima, per espressa volontà del legislatore, evidenziano la necessità di un Codice che ricomprenda tutte le normative che la responsabilità della societas va a tangere.

The Legislative Decree of June 8, 2001. 231 is part of an ongoing process of harmonization and standardization of State regulations in Europe that led to the introduction of the responsibility "penalty" of societas in our system.
